These Terms of Service ("Terms") govern your access to and use of the IRES AI service (the "Service") operated by John Peters, a private individual based in Nicosia, Cyprus ("we", "us", "our"). By creating an account or otherwise using the Service, you agree to be bound by these Terms.
1. The Service
IRES AI is a software platform that helps residential communities, volunteer boards and property managers to organise messages, votes, fees, expenses, meetings and related documentation, assisted by generative artificial intelligence.
Beta notice. The Service is currently offered free of charge during a beta phase. Features may change, be added or removed at any time without prior notice.
2. Eligibility and account
- You must be at least 18 years old to create an account.
- You are responsible for keeping your credentials confidential.
- You must provide accurate information and keep it up to date.
- You are responsible for all activity that occurs under your account.
3. Your content
You retain all rights in the content you upload (messages, receipts, documents, photos, etc.). You grant us a worldwide, non-exclusive, royalty-free licence to host, store, transmit and display your content solely to the extent necessary to operate the Service on your behalf.
3a. Anonymised-data licence
You additionally grant us a perpetual, irrevocable, worldwide, royalty-free and sublicensable licence to transform data processed through the Service into anonymous, aggregated statistics and anonymised datasets, and to use, publish, share and commercially license such anonymous data for any lawful purpose, including licensing to public authorities, academic and research institutions and commercial partners.
Anonymisation is carried out in accordance with EDPB Opinion 05/2014 and our internal anonymisation standard (minimum aggregation thresholds, suppression of rare attributes, no household- or community-identifying combinations). The resulting anonymous data no longer constitutes personal data and is not subject to the GDPR. Original personal data is processed only for the purposes described in our Privacy Policy.
4. Acceptable use
You agree not to:
- use the Service in violation of any applicable law;
- upload content that infringes third-party rights or contains malware;
- attempt to bypass security, rate-limits or access controls;
- reverse-engineer the Service except as permitted by mandatory law;
- use automated means to scrape or extract data at scale;
- send unsolicited commercial communications through the Service.
5. AI-generated output — no legal advice
The Service uses generative AI to draft messages, summaries, agendas, resolutions and similar artefacts. AI output can be inaccurate, incomplete or out of date and does not constitute legal, tax, accounting or professional advice. You are solely responsible for reviewing, editing and approving any AI-generated content before it is sent, published or acted upon.
6. Fees
The Service is currently free during the beta phase. If paid plans are introduced, we will notify existing users in advance and require an explicit opt-in before charging.
7. Termination
You may terminate your account at any time from within the application. We may suspend or terminate your access if you materially breach these Terms or if operating the Service becomes impracticable. Upon termination, your data will be deleted in accordance with the retention periods stated in our Privacy Policy.
8. Disclaimer of warranties
To the maximum extent permitted by applicable law, the Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose or non-infringement. We do not warrant that the Service will be uninterrupted, error-free or secure, nor that any AI output will be accurate.
9. Limitation of liability
To the maximum extent permitted by applicable law, our aggregate liability arising out of or in connection with the Service — whether in contract, tort (including negligence) or otherwise — is limited to the fees paid by you to us in the twelve (12) months preceding the event giving rise to the claim; where the Service was provided free of charge, our aggregate liability is limited to EUR 100. We are not liable for indirect, incidental, special, consequential or punitive damages, loss of profits, revenue, data or goodwill.
Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law, in particular for wilful misconduct, gross negligence, personal injury or statutory consumer rights.
10. Indemnity
You will indemnify and hold us harmless from any third-party claim arising from your content, your use of the Service in breach of these Terms, or your violation of applicable law.
11. Changes to the Terms
We may update these Terms from time to time. Material changes will be announced in the application or by email at least 14 days before they take effect. Continued use of the Service after that period constitutes acceptance of the updated Terms.
12. Governing law and jurisdiction
These Terms are governed by the laws of the Republic of Cyprus, excluding its conflict-of-laws rules and the UN Convention on Contracts for the International Sale of Goods. The exclusive place of jurisdiction is Nicosia, Cyprus, provided that mandatory consumer-protection rules of your country of residence remain unaffected.
